TailgateTime Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TailgateTime mobile application, website, and related services (collectively, the "Service"), provided by V&S Ventures LLC ("TailgateTime," "we," "our," or "us").
By accessing, downloading, registering, hosting an event, purchasing a ticket, or otherwise using the Service, you agree to be bound by these Terms.
If you do not agree, you may not use the Service.
1. Nature of the Platform
TailgateTime is a technology platform that enables users to:
- Create and promote tailgate events ("Hosts")
- Discover, RSVP to, and purchase tickets for tailgate events ("Attendees")
- Communicate and share content related to events
TailgateTime is not an event organizer, promoter, venue operator, alcohol provider, security company, transportation provider, or insurer.
We do not control, supervise, or manage any event listed on the platform.
All events are organized and operated solely by independent Hosts.
2. Eligibility
You must be at least 13 years old to create an account.
You must be at least 18 years old to:
- Purchase tickets
- Host paid events
- Receive payouts
If alcohol is present at an event, compliance with all age and alcohol laws is solely the responsibility of the Host and Attendees.
By using the Service, you represent that you have legal capacity to enter into these Terms.
3. Accounts
You are responsible for:
- Maintaining the confidentiality of your credentials
- All activity under your account
- Providing accurate and current information
We may suspend or terminate accounts at our sole discretion.
4. Open and Paid Tailgate Events
4.1 Host Responsibility
Hosts are solely responsible for:
- Event planning and execution
- Compliance with all laws and regulations
- Permits and venue rules
- Alcohol compliance
- Security and crowd control
- Insurance
- Clean-up
- Taxes
TailgateTime assumes no responsibility for:
- Injuries
- Property damage
- Alcohol-related incidents
- Arrests or citations
- Venue disputes
- Parking or towing
- Event cancellations
Hosts agree to defend and indemnify TailgateTime against claims arising from their events.
4.2 Attendee Acknowledgment
By attending an event, you acknowledge:
- Events may involve alcohol, grills, vehicles, crowds, and inherent risks.
- You voluntarily assume all risks associated with attendance.
You release TailgateTime from liability arising from participation in any event.
5. Ticket Sales and Payments
Payments are processed by third-party providers (e.g., Stripe).
TailgateTime:
- Does not own ticket revenue
- Facilitates payment on behalf of Hosts
- Does not guarantee event quality or legality
Ticket sales are final unless otherwise specified by the Host or required by law.
6. Refund Policy
6.1 General Rule
All ticket purchases are final and non-refundable except:
- As stated in the event listing
- As required by applicable law
Platform service fees and payment processing fees are non-refundable unless required by law.
6.2 Host Cancellations
If a Host cancels an event:
- TailgateTime may facilitate refunds at its discretion.
- Processing fees may be deducted.
If the Host has already been paid, TailgateTime may:
- Offset future payouts
- Debit the Host's connected account
- Invoice the Host for refund amounts
TailgateTime is not responsible for travel, lodging, or other incidental expenses.
6.3 Force Majeure
TailgateTime is not responsible for cancellations caused by:
- Weather
- Government action
- Law enforcement
- Public health events
- Utility failures
- Acts of God
Refund decisions in these cases are at the Host's discretion unless required by law.
6.4 Chargebacks
If an attendee files a chargeback:
- TailgateTime may provide evidence to the payment processor.
- The Host is responsible for chargeback losses and associated fees.
We may deduct such amounts from current or future payouts.
7. Host Payout Policy
7.1 Payout Timing
TailgateTime may delay payouts:
- Until after event completion
- During risk review
- For fraud investigation
Funds may be held for up to 30 days or longer if necessary for risk mitigation.
7.2 Reserves and Withholding
We may establish rolling reserves or holdbacks for:
- New Hosts
- High-value events
- Elevated dispute rates
- Suspicious activity
7.3 Payout Reversals
If refunds or chargebacks occur after payout:
We may:
- Offset against future payouts
- Debit the Host's connected account
- Pursue recovery
7.4 Taxes
Hosts are solely responsible for:
- Reporting income
- Paying applicable taxes
TailgateTime may issue required tax forms.
8. Prohibited Conduct
You may not:
- Use the Service for unlawful activity
- Sell illegal goods
- Promote violence
- Harass others
- Circumvent platform fees
- Reverse engineer or disrupt the Service
Violations may result in immediate termination.
9. User Content
You retain ownership of content you post.
You grant TailgateTime a worldwide, non-exclusive, royalty-free license to host, display, and distribute such content in connection with operating and marketing the Service.
We may remove content at our discretion.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
We do not guarantee:
- Event safety
- User conduct
- Event legality
- Payment processor availability
- Continuous platform uptime
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
TAILGATETIME'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
- $100 USD
- THE TOTAL PLATFORM FEES YOU PAID IN THE PRIOR 12 MONTHS
WE ARE NOT LIABLE FOR:
- PERSONAL INJURY
- DEATH
- PROPERTY DAMAGE
- LOST PROFITS
- INCIDENTAL OR CONSEQUENTIAL DAMAGES
12. Indemnification
You agree to defend, indemnify, and hold harmless V&S Ventures LLC and its affiliates from any claims arising out of:
- Your event
- Your attendance
- Your violation of law
- Your violation of these Terms
13. No Agency or Partnership
Nothing in these Terms creates:
- Agency
- Joint venture
- Employment
- Partnership
Hosts and Attendees act independently.
14. Arbitration and Class Action Waiver
Any dispute shall be resolved through binding arbitration in Pennsylvania.
You waive:
- Jury trial
- Class action participation
- Class arbitration
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania.
16. Changes to Terms
We may update these Terms at any time.
Continued use of the Service constitutes acceptance.
